1. Definitions

• "Gemilang Labs" — the business operating at Jalan Sultan Ahmad Shah 14, 10050 George Town, Penang, Malaysia.
• "Client" or "You" — the individual or business engaging Gemilang Labs for services.
• "Services" — the AI integration services offered by Gemilang Labs, including Morning Chat Helper, Routine Lightening Support, and Readable Numbers Setup.
• "Agreement" — these Terms and Conditions, together with any service scope confirmation exchanged in writing.

2. Acceptance of Terms

By submitting an enquiry, confirming a service engagement, or using the Gemilang Labs website, you agree to be bound by these Terms. If you do not agree, please do not use our website or engage our services.

You must be at least 18 years of age and have the legal capacity to enter into agreements in Malaysia to use our services.

3. Service Description

Gemilang Labs provides AI integration consulting and setup services for small businesses. Services are delivered as defined in the relevant scope confirmation, within the timelines and pricing communicated at the start of each engagement.

Services are provided within Malaysia. Engagements are conducted in English. We reserve the right to decline an engagement if the scope is not a good fit for our current capacity or expertise.

4. User Responsibilities

As a client, you agree to:

• Provide accurate information about your business and requirements
• Make yourself or a designated contact available for planning and review sessions
• Use any tools or setups delivered in accordance with the relevant third-party terms of service
• Not share, resell, or sublicense any deliverables without our written consent
• Ensure that your use of any implemented tools complies with applicable Malaysian laws

5. Intellectual Property

All original documentation, templates, and written guidance produced by Gemilang Labs as part of your engagement become your property upon full payment. Gemilang Labs retains the right to use general methodologies, processes, and approaches developed during engagements for future clients.

Third-party tools and platforms introduced during an engagement remain subject to their own licensing and ownership terms.

6. Payment Terms

All prices are quoted in Malaysian Ringgit (RM) inclusive of any applicable taxes unless stated otherwise. A 50% deposit is required before work begins; the remaining balance is due on handover. Payment is accepted via bank transfer to the account details provided in your invoice.

Refunds are not provided once a service engagement has begun, except in cases where Gemilang Labs is unable to complete the agreed scope. In such cases, a proportional refund reflecting uncompleted work will be offered.

7. Service Delivery Terms

Timelines quoted are estimates based on standard engagement conditions. Delays caused by the client — including slow response to requests, unavailability for scheduled sessions, or late provision of required data — may extend the timeline without affecting the fee.

Gemilang Labs will communicate any material timeline changes in writing as soon as they are identified. Changes to agreed scope that require additional work will be quoted separately and require written confirmation before proceeding.

8. Confidentiality

We treat all business information shared during an engagement as confidential. We will not disclose details of your business, operations, or data to third parties except as required to deliver the agreed service or as required by law. This obligation continues after the engagement ends.

9. Disclaimers

Services are provided on the basis of our professional knowledge and experience, but outcomes cannot be predicted or guaranteed. AI tools are subject to the policies and reliability of their respective providers, which are outside our control.

Nothing in these Terms constitutes legal, financial, or regulatory advice. If you have questions about compliance with specific laws or regulations, please seek independent professional advice.

10. Limitation of Liability

To the extent permitted by Malaysian law, Gemilang Labs' liability for any claim arising from a service engagement is limited to the total fees paid for that engagement. We are not liable for indirect, consequential, or lost profit claims.

This limitation does not apply to liability arising from gross negligence or wilful misconduct.

11. Termination

Either party may terminate an engagement by giving 7 days' written notice. Upon termination, Gemilang Labs will provide a summary of work completed and issue an invoice for that portion. Any deposit paid in excess of the value of work completed will be refunded within 14 days.

12. Dispute Resolution

These Terms are governed by the laws of Malaysia. In the event of a dispute, both parties agree to first attempt resolution through good faith discussion. If unresolved within 30 days, the dispute may be referred to mediation before any legal proceedings are commenced.

Any legal proceedings will be conducted in the courts of Penang, Malaysia.

13. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect. These Terms, together with any written scope confirmation, constitute the entire agreement between the parties and supersede any prior discussions.

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of our services after changes constitutes acceptance.
